This License Agreement ("Agreement") is a legally binding contract between you (the "Purchaser" or "Licensee") and Koru Advisory & Consultancy ("Licensor"). By purchasing, downloading, or using any digital products, including but not limited to ESG strategy templates, materiality tools, or reporting frameworks (the "Digital Products"), you agree to be bound by the terms herein. This Agreement is formed electronically under the Electronic Commerce Act 2006 of Malaysia.
1. INTELLECTUAL PROPERTY OWNERSHIP The Digital Products are the proprietary intellectual property of Koru Advisory & Consultancy. All content, formulas, designs, and methodologies contained within the Digital Products are protected by the Copyright Act 1987 of Malaysia and international intellectual property laws. Purchase of a Digital Product does not transfer ownership; it grants a limited license to use the product under the conditions specified in Section 2.
2. GRANT OF LICENSE (SINGLE-ENTITY USE) Licensor hereby grants the Purchaser a Single-Entity, Non-Exclusive, Non-Transferable License.
- Permitted Use: The Purchaser may use the Digital Products solely for the internal business purposes of a single legal entity (the purchasing organization).
- Modification: The Purchaser may adapt or customize the templates for their internal use, provided that the underlying proprietary formulas and structural logic remain the property of Koru Advisory & Consultancy.
3. PROHIBITED USES & RESTRICTIONS The Purchaser is strictly prohibited from the following acts:
- Redistribution: Sharing, emailing, or distributing the Digital Products to any third party, including sister companies, consultants, or external business partners, without prior written consent from Koru Advisory & Consultancy.
- Resale: Selling, sub-licensing, or renting the Digital Products or any derivative works created from them.
- Consultancy Resale: Professional consultants who purchase these products are prohibited from using the Digital Products as a service delivery tool for multiple clients under a single license. Each end-client engagement requires an individual license purchase.
4. SECURITY & TRACEABILITY The Purchaser acknowledges that Digital Products may contain embedded Dynamic Watermarks or metadata to trace the origin of the file. In the event of an unauthorized leak, this data will be used as evidence of a breach of contract. Any attempt to remove or alter these security identifiers is a violation of this Agreement.
5. NO REFUND POLICY Due to the nature of digital goods, which are accessible immediately upon purchase, all sales are final. Koru Advisory & Consultancy does not offer refunds once the download link has been generated or the file has been accessed.
6. LIMITATION OF LIABILITY The Digital Products are provided "as-is" for strategic guidance and educational purposes. While Koru Advisory & Consultancy strives for technical accuracy, the Licensor is not liable for any financial losses, regulatory non-compliance, or audit failures resulting from the Purchaser's implementation of the tools. The Purchaser remains responsible for verifying all final ESG data against current Bursa Malaysia or NREB regulations.
7. GOVERNING LAW & JURISDICTION This Agreement is governed by and construed in accordance with the laws of Malaysia. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in Sarawak, Malaysia.
8. ACCEPTANCE BY INTERACTION By clicking the "Complete Purchase", "Click to Download" or "I Agree" button to access your download, you acknowledge that you have read, understood, and accepted the terms of this Agreement. This "Clickwrap" acceptance is recognized as a valid electronic signature under Malaysian law.
